Supplemental Terms

1. Acceptance and relationship to Apple’s EULA

These Supplemental Terms (“Terms”) are an agreement between you and Goldenberg Tech Advisors LLC (“we,” “us”) and apply in addition to Apple’s Licensed Application End User License Agreement (“Standard EULA”). The Standard EULA governs your license to download and use the Meld Club application (the “App”). These Terms do not replace or modify the Standard EULA. If these Terms conflict with the Standard EULA regarding your license to the App, the Standard EULA controls.

By using the App or purchasing Meld Club Plus, you agree to the Standard EULA, these Terms, and our Privacy Policy. If you do not agree, do not use the App or purchase a subscription.

2. Supplemental scope

These Terms govern Meld Club Plus subscriptions, invite-only private-table services, display names and canned reactions, acceptable use, support, and other matters described below that supplement the Standard EULA. They do not grant a separate license to the App or change any right or obligation in the Standard EULA.

Private tables

A private table is a live four-seat partnership game reached through a six-character invitation code or share link. One to four invited people may occupy seats and computer players fill the remaining seats. Private tables are unlisted; Meld Club does not offer a public lobby, public matchmaking, spectators, public rankings, free-text chat, voice, or video. You are responsible for sharing an invitation only with people you intend to invite.

Private-table play depends on a network connection and our hosted service. A lost connection may cause the computer to continue a turn or control a seat after the displayed grace period. Leaving explicitly replaces that player immediately and prevents that installation's anonymous identity from reclaiming the game. If no human remains connected, computer-only progression stops and the table is preserved only for the recovery period stated in the Privacy Policy. We do not promise that an invitation or game will remain available after its displayed or documented expiry.

3. Meld Club Plus subscriptions

The App is free to download. Its interactive lesson, Rookie computer opponents, optional coaching, basic local statistics, one new solo table each day, and one hosted private table in each rolling 24-hour period are available without a subscription. A free private-table allowance is consumed when the first deal begins, not when an unused lobby is created, and covers rematches in the same room until it closes. Joining a table as an invited guest is free and unlimited. Meld Club Plus is an optional auto-renewable subscription that, while active, removes the solo and private-table hosting limits and unlocks Club and Expert computer opponents, complete saved house-rule presets, advanced game history, streaks, records and achievements, and all premium table and playing-card collections.

• Pricing. Meld Club Plus is offered monthly and annually. US pricing is $5.99/month and $39.99/year; actual prices are shown in the App before purchase and may vary by region and over time.
• Billing & auto-renewal. Payment is charged to your Apple ID at confirmation of purchase. The subscription renews automatically for the same period unless you cancel at least 24 hours before the end of the current period. Your account is charged for renewal within 24 hours before the period ends.
• Managing & canceling. You can manage or cancel your subscription in your Apple ID account settings (Settings → your name → Subscriptions). Canceling stops future renewals; you keep Plus until the end of the paid period.
• Restoring access. If an active purchase is not recognized, use the Restore option on the membership screen while signed in with the Apple ID used to subscribe.
• Refunds. Purchases are handled by Apple and are subject to Apple's refund policies. We do not process payments and generally cannot issue refunds directly.
• Statutory withdrawal rights. Because Apple is the merchant for App Store purchases, any statutory right you have to withdraw from or cancel a purchase — including the 14-day withdrawal right that applies to consumers in the EU/EEA and the United Kingdom — is exercised through Apple, using the App Store's refund request process (reportaproblem.apple.com). Nothing in these Terms limits those statutory rights.
• Free trials or offers, if any, are disclosed at the point of purchase; any unused portion of a free period is forfeited when you buy a subscription.

4. Acceptable use

You agree not to:

• Copy, modify, or create derivative works of the App, or reverse engineer, decompile, or disassemble it, except to the extent permitted by law.
• Rent, lease, lend, sell, or sublicense the App.
• Circumvent free-play limits, subscription controls, table membership or seat ownership, rate limits, App Check, hidden-card protections, or other security features.
• Guess or harvest invitation codes, access a table you were not invited to, automate commands or reactions, interfere with the service, exploit a bug, or attempt to view or act on another player's hidden state or seat.
• Use a display name that contains a link, profanity, threats, hate, harassment, sexual content, personal information, impersonation, or anything unlawful or abusive.
• Harass another player, misuse reporting, disrupt a table intentionally, or use the App in any unlawful manner.

5. Intellectual property

The App, including its software, artwork, text, and the Meld Club name and logo, is owned by us or our licensors and is protected by intellectual-property laws. Hand & Foot Canasta is a traditional, public-domain card game; the game rules are not owned by us, but our specific implementation, design, and branding are. All rights not expressly granted are reserved.

6. Your content

The only user-authored text transmitted to a private table is the display name you choose. The App otherwise offers only developer-authored reactions. Your display name and selected reactions are visible to the invited people at that table; they are not posted to a public profile or directory.

You retain any rights you have in your display name. You give us a limited, worldwide, royalty-free license to host, process, filter, reproduce, and display it only as needed to operate, secure, and moderate Meld Club. We may replace or remove a display name, remove someone from a pregame lobby, preserve and review a report, block access to hosted services, or take other proportionate action when we reasonably believe these Terms or the law have been violated. Players can report a name or conduct and block another player. Any feedback you send us is voluntary, and you grant us permission to use it to improve the App without obligation to you.

7. Disclaimer of warranties

The App and private-table service are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that they will be uninterrupted, error-free, free of harmful components, or that a table will be recoverable after a connection loss or expiry.

If you are a consumer, nothing in this section or these Terms limits any statutory guarantee of conformity for digital content or digital services under the mandatory law of your country of residence (including, in the EU/EEA, national laws implementing Directive (EU) 2019/770; in the United Kingdom, the Consumer Rights Act 2015; and, in Australia, the consumer guarantees under the Australian Consumer Law), or any other consumer right that cannot be excluded by agreement.

8. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or goodwill, arising from your use of the App. Our total liability for any claim relating to the App will not exceed the amount you paid for the App in the 12 months before the claim, or USD 50 if you paid nothing. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for intentional misconduct or gross negligence, or for any other liability that cannot be excluded or limited under the mandatory law of your country of residence. If you are a consumer, this section applies only to the extent permitted by that law.

9. Apple Standard EULA

Apple’s Standard EULA, rather than these Supplemental Terms, provides the license for the App and addresses the license scope, maintenance and support, warranties, product claims, intellectual-property claims, legal compliance, and Apple’s third-party-beneficiary rights. We incorporate the Standard EULA by reference and do not replace it with a custom license agreement.

Support is provided by us at contact@meld-club.com. See our Support page for common questions. Beginning with version 1.2.4, the App is available in English and Spanish. These Terms are available in both languages. Support is provided in English.

11. Termination

These Terms apply until terminated. We may rate-limit, suspend, or terminate your access to hosted services if you fail to comply with these Terms, create risk for other players or the service, or repeatedly misuse reporting, subject to applicable law. A host may remove a player before the first deal, and any player may block another player. Your license to the App is governed by the Standard EULA. Sections that by their nature should survive termination, including intellectual property, user-content permissions, disclaimers, and limitation of liability, will survive.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, except that this choice does not deprive you of protections under the mandatory consumer law of your place of residence. You and we agree that the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising from these Terms or the App, except where applicable law gives you the right to bring a claim, or requires that a claim against you be brought, in the courts of your place of residence.

13. Changes to these terms

We may update these Supplemental Terms as the App evolves. When we do, we will update the “Last updated” date above. Your continued use of the App after changes take effect means you accept the revised Terms. If a change materially reduces your rights, we will give reasonable advance notice — for example in the App or on this page — before it takes effect. Updates to these Terms do not modify Apple’s Standard EULA.
